What a Florida Annual Report Actually Costs

There are four possible charges, and which ones apply depends entirely on the date. Below is every number, where each one comes from, and the totals at each stage. Every figure is on this page, including the state fees, before you enter anything.

All four are state charges paid to the state. Nobody, including us, can change them or remove them. The $400 is statutory, under section 607.193(2)(b). The reinstatement fee for a profit corporation is $600 rather than the $100 LLC figure.

Our service fee is separate: $129 to prepare and file, and $249 for rush handling on or after September 12, 2026, when the statutory September cutoff is close enough that a filing needs to move the same day. Reinstatements start at $199 because there are two filings involved rather than one.

The $400 late fee cannot be waived. It is statutory, at section 607.193(2)(b), and the section contains no hardship provision and no waiver provision. The only exception written into it is the reinstatement exception described further down. It reaches the entities required to file under ss. 605.0212, 607.1622, and 620.1210, which is profit corporations, LLCs, limited partnerships, and limited liability limited partnerships. Chapter 617 not-for-profit corporations are not on that list. If a service offers to get it removed for you, that is the moment to close the tab.

Of that $667.75, exactly $538.75 goes to the State of Florida. The state's share does not change based on who submits the form. The $400 is the expensive half, and it stopped being avoidable on May 2.

The $400 late fee does not appear here, and that is not an omission. Section 607.193(2)(b) excepts an entity that was administratively dissolved for failure to file an annual report and then applied for reinstatement and paid the reinstatement fee. The Division's published reinstatement instructions match: the minimum amount due is $238.75 for an LLC and $750 for a profit corporation, which pays a $600 reinstatement fee rather than $100. Reinstate on or after January 1 and the Division collects the following calendar year's report too, taking the LLC minimum to $377.50 and the corporation minimum to $900.

Yes, that means reinstating can cost less in state fees than filing late. $538.75 to fix a delinquent LLC report in August, $238.75 to reinstate in the same calendar year after dissolution. We would rather tell you than have you find it yourself and wonder what else we left out. The reason to deal with this before September is not the state fee. It is the one-year clock on your company name under section 605.0715, the loss of your certificate of status, and the bar in section 605.0212(6) on maintaining or defending an action in a Florida court.

How this compares to other filing services

Two ways to spend less

First, file before May 1 next year. The $400 is the largest single number on this page and it is the only one that is purely a function of timing.

Second, if you are comfortable with state filing forms, you can file the report yourself directly with the Florida Division of Corporations and pay only the state fees. That path is real and we are not going to pretend otherwise. What we sell is that somebody else confirms the data, does the form, pays the state, and sends you the confirmation, on a deadline that has real consequences attached to it.
