Service Description

LLC Filing Fix is a service of JeLe Ventures LLC ("we," "us," "our") that provides confirm-only annual report filing for Florida LLCs and profit corporations. We submit your 2026 Florida annual report to the Division of Corporations on your behalf, using officers, registered agent, and addresses exactly as they appear in current state records.

We are not attorneys and do not provide legal advice. This is a ministerial filing service. We do not review, interpret, or advise on any legal matter related to your entity. If you have legal questions about your entity, please consult a Florida-licensed attorney.

You can file your annual report yourself at no service charge, directly at sunbiz.org.

By submitting the intake form and completing payment, you represent and warrant that:

Confirm-Only Policy

We file annual reports with officers, registered agent, and addresses exactly as they currently appear in state records. We do not add, remove, or change any officers, registered agents, or addresses.

If you need to make changes to your entity's officers, registered agent, or address, please file directly at sunbiz.org.

Fees and Payment

Our pricing includes three components, each itemized on the checkout page:

Payment is processed securely through Stripe. We do not store your credit card information.

Filing Guarantee and Refunds

We guarantee that we will submit your annual report to the Florida Division of Corporations within 48 hours of payment clearing.

Before we file: If we determine we cannot file your annual report for any reason, we refund your full payment (state fees + service fee). Common reasons:

After we successfully file (confirmed by a Sunbiz confirmation number): No refund is available. State fees have been remitted to the Division of Corporations and our service is complete.

If we don't file within 48 hours, the refund amount depends on the status of your order at the time of the guarantee breach:

Our total liability for any claim is limited to the amount you paid. We are not liable for indirect, consequential, or punitive damages, lost business, or the consequences of administrative dissolution.

Mismatch Review

If the name on your payment or intake form does not match any officer or registered agent listed in state records for the named entity, we may flag your order for manual review before filing. This may extend the filing timeline beyond 48 hours. We will contact you by email if additional verification is needed.

Privacy

We collect only the information necessary to file your annual report: entity name, document number, entity type, principal address, your name and title, email address, and optional phone number. We also record the exact clickwrap authorization text you agreed to, the timestamp, and your IP address.

This information is used solely for filing your annual report and communicating with you about your order. We do not sell or rent your personal information. We share it only as needed to process your filing (Stripe for payment, and the Florida Division of Corporations for the filing itself).

We use Google Analytics to measure how visitors use our website. Google Analytics may set cookies and collect standard usage data, such as pages viewed, approximate location derived from your IP address, and device or browser type, subject to Google's privacy policy. We enable IP anonymization. This website-usage data is not linked to your filing order and is used only to improve our website. You can opt out using the Google Analytics opt-out browser add-on or your browser's cookie controls.

Compliance Calendar Subscription

The Compliance Calendar is an optional annual subscription service available at checkout for $149 per year. If you select the Compliance Calendar checkbox during checkout, you are subscribing to the following services:

Billing: The Compliance Calendar subscription is billed at $149/yr. The first year begins at checkout. Your subscription auto-renews on the anniversary of your purchase date each year at the then-current rate (currently $149/yr). You will receive a renewal notice by email before each renewal.

Cancellation: You may cancel your Compliance Calendar subscription at any time by emailing [email protected] or through the Stripe customer portal. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial periods.

Scope: The Compliance Calendar covers the single entity identified at checkout. It does not extend to affiliated entities, subsidiaries, or other entities you may own or manage. Additional entities may be added separately.

Dispute Resolution

These terms are governed by the laws of the State of Florida. Any dispute arising from these terms or our service shall be resolved in the courts of Pinellas County, Florida.

Not a Government Agency

JeLe Ventures LLC is a private company. We are not affiliated with, endorsed by, or approved by the Florida Department of State, the Division of Corporations, or any other government agency. The annual report form and filing service are available directly from the Division of Corporations at sunbiz.org.

Changes to These Terms

We may update these terms at any time. Changes take effect when posted. Your continued use of our service after changes are posted constitutes acceptance. The terms in effect at the time of your order govern that order.
