What Happened, and What Comes Next

Administrative dissolution is not permanent. Florida law allows reinstatement by filing the delinquent annual report and a reinstatement application. Here is the process.

Filing Deadline

The last day to file your 2026 annual report is September 18, 2026 (the third Friday of September, per s. 605.0714(1)(a), F.S.). Entities that do not file will be administratively dissolved by the Division of Corporations on September 25. If your entity's status already shows "Inactive" on Sunbiz from a prior filing cycle, it was already dissolved and can be reinstated now.

Before you can reinstate, the delinquent annual report must be filed and all state fees paid. The $400 late fee that applies to late annual report filings is not charged on reinstatements (s. 607.193(2)(b), F.S.).

Submit Reinstatement Application

After the delinquent report is accepted, a separate reinstatement application is filed with the Division of Corporations. There is a $100 reinstatement fee for this filing.

What happened to my LLC?

If your entity does not file its 2026 annual report by September 18 (the statutory filing deadline), the Florida Division of Corporations will administratively dissolve it on September 25, changing its status from "Active" to "Inactive" in state records. If your entity is already showing "Inactive" from a prior filing cycle, the same reinstatement process applies now. Administrative dissolution is different from voluntary dissolution. It can be reversed by filing the delinquent annual report and a reinstatement application.

Is my business name still protected?

While your entity is dissolved, the business name is not reserved or protected. Another person could register a new entity with the same or similar name. The sooner you reinstate, the lower the risk of a name conflict. If someone has already taken your exact name, the reinstatement application may require a name change. How long does reinstatement take?

After we submit both filings (the delinquent annual report and the reinstatement application), the Division of Corporations typically processes reinstatements within 5 to 7 business days. During peak October volume, processing may take slightly longer. You will receive the Sunbiz confirmation by email once your entity is restored to Active status.

What if I have multiple years of missed reports?

If your entity missed annual reports from prior years as well, each delinquent year must be filed separately before reinstatement can proceed. Additional state fees apply for each missed year.
